HI i got my i3 2120 processor and im thinking of upgrading my new cpu to an i5 3470 but im not sure about the bios do i need to change the bios or just plug n play

Best way to find out about things like that is to check CPU compatibility list for MB.

I say probably because you didn't say which exact MB version you have. For that particular one (v2.0) it shows all CPUs needing same BIOS F4. On Gigabyte boards, exact version is in bottom left corner of MB.

Since both revisions (2.0/2.1) of the motherboard support the Intel Core I5-3470 with the base BIOS version (F4), there is nothing you need to do within BIOS in order for the new CPU to work.
