Help please, Swapping cpu's on a friends PC

It is an MSI p67a-gd65 (B3) motherboard running E7681IMS V1.9 BIOS.
We are just trying to swap the assumed faulty CPU with a new one to make this PC work decently for light gaming and general internet use.

So we swapped the I5 2500k with an I3 3245 which both use the LGA1155 socket.
Do I need to create a boot USB and update the bios for this processor to work or does only sandy bridge cpus work in this specific board?
When I installed the I3 3245 I would get pc start up into 4 BIOS beeps and immediate shut down every time. (tried 3 or 4 times before swapping it back out.
Would i be better off returning the i3 3245 and just swapping it back to another i5 2500k or updating the bios if this is the issue? .. the 4 beeps from the bios would be either faulty motherboard all together or uncompatable bios correct?

The computer will boot with the old CPU and eventually shut itself down most of the time before windows log in.. there is some major screen issues or tearing going on also but I figured if that wasnt gone when I switched the cpu then we're probably biting off more than we can chew. I got in to shut off the auto shut down so I could get a blue screen but it still shuts itself off. The ram was swapped about 3 months prior to these issues she is having by someone else for reasons unknown to her. 1333 mhz compatible with the cpu.

I appreciate any help I'm just trying to help my friend save money by not getting a completely new PC while we both learn something :D

So this I3 is an Ivy Bridge and my BIOS is only good for Sandy Bridge cpu? I need to upgrade past v4.0 bios?
I just have never flashed a bios before and was hoping someone could give some insight before I do this.

any idea why i get the 4 beeps and no start with the new processor then?

After putting the new processor back in and resetting cmos/bios i now get no bios beeps and continuous restart after 5 seconds. Reading more it seems like this specific board had been known I guess for this? I'm stumped. I'll do some more forum reading before I buy an old lga1155 motherboard for this.

@CountMike How could mounting create this issue?
