Cpu:Intel core2 duo E6300@1.86 GHZ
Motherboard : Intel D945GCL
RAM : Hynix 4 GB DDR2 800 MHz FSB
OS : WINDOWS 7 ULTIMATE 32 bit
Power supply: antec BP450s

How to overclock and which is a suitable graphics card for this processor?

Basically you will be doing exactly what I did except with 2 cores in stead of 4. I would expect it to run 3.45GHz. 3.72GHz if you're lucky.
if you get that it would be a 100% overclock from what you have now. E6300 is what my E520 came with when new.
Here is an old Dell running 3.72GHz with the X6800. It was an XPS version so it might have a better MB, but you can see what's possible.
