I have 4GB RAM But 3.25 is usable

I bougt a kingston hyperX fury 4gb ddr3 but my pc shows that i only have 3.25 gb usable and i dont know why can someone pls help me.

OS:windows 7 ultimate 32
bit
Cpu: amd anthlon2 x2 255
Gpu:GTX 560SE
Ram:4gb kingston hyperX

Yes. But I guess that 3.25 vs 4 GB is not a huge loss. But if needing 8 or more GB, then yes, a 64 bit Windows version is needed.

As alex wrote, you can't have a full 4GB of addressable RAM on a 32bits OS.

Many devices in a typical PC use "memory-mapped IO" which reserves ranges of the memory space for IO and if you have more physical RAM than the addressable range after MMIO reservations, that excess RAM is lost.

The only way to address the full 4GB of RAM is to upgrade to 64bits Windows. You may be able to reduce the reserved space by disabling unused hardware but I doubt you'll manage to reclaim more than 256MB this way.

AFAIK, keys for 32bits and 64bits Windows are the same... at least they are for the retail versions which ship with both 32bits and 64bits install discs and only one key. OP may be able to upgrade to 64bits by simply downloading a 64bits copy of the same tier OS he already has from Microsoft's servers and re-installing.
