the only thing i see different inthe two is the
rambus memory and the mobo;

Me personally would take the second over the first system becuz you cant go wrong with rambus mem. and there is not a really much of a noticable difference between 8x and 4x agp and you also cant go wrong with an asus mobo. so like i said me I would go with system #2.

how much money u tryin to spend if you dont mind me askin?

Since you asked my opinion :)

I'd switch the HSF to Swiftech MCX4000-B Heatsink with a variable speed fan.

I'd go with the 7205 chipset and change the video card to the ATP All-In-Wonder 9700 Pro. Who knows, AGP 8X might really be cool in 18 months.

Darn typos
