and what is the difference between the 645DX and 845 chipsets?

It really depends on what you're going to use the system for. If you want the fastest mainboard that uses P4 and DDR, I recommend boards with SiS655 chipset.

The SiS645DX supports memory up to DDR333 and has a FSB 533MHz and USB2.0 ports.
The i845 allows the use of PC133 SDRAM or DDR266 memory but supports only FSB400 and USB 1.1 ports.

Yeah, well, if you buy the 655, make sure you get the most recent BIOS flash, and check the web site of the board manufacturer to make sure you buy RAM that will work properly. If you're not interested in overclocking, this board should be great, provided you get the right RAM in there.

Yeah, this will be the first time, in a while that I have gone back to P4...

Well I'm using granite bay with no complaints... Also when shitching to intel from AMD you case sound much quieter for some reason.. I Have no regrets form switching over.
