I want to upgrade my dell Precision 330 with a new motherboard, processor and memory. My problem is when looking aroung at other motherboards the layout of them is totally diffent to my current board. My system has 5 PCI slots then the AGP then Processor and then the Ram directly above that. (Not off to the side of the processor). I measured my current board, its 355 mm long and 215mm wide. My concern is if i by a new board will it fit my exsiting case.

The board will propably fit since all atx boards are the same.
BUT Dell uses their own conectors for the HD, speaker, led lights, power on etc. so you are better off spending the extra ~$50-$100 and get a new case with a better power supply(Antec).

I don't remember whether the Precision series used ATX cases or not, but Dell has been moving back towards proprietary (aka custom for Dell) form factor boards. Everything in your system would work with another board if you switch cases and power supplies. You can probably resell your old case/power on eBay.
