Changing core 2 duo and g41 is it a good deal

Am about to change my CPU and Motherboard.
I have an intel core 2 duo E7300 2.66 GHz with a G41T-M:v2.0 755 socket .
And i've found a deal to change the CPU to intel g620 2.6GHz and a h61 Motherboard 1155 socket
I will give him 2 GB DDR2 of ram and he will give me nothing (i already have a 8 GB G.SKILL DDR3) Ram
All of that was for 90$ (without the G.SKILL Ram) is it a good deal
