First ones an upgrade which you can only use if you have XP, Vista, or 7 that you are upgrading from. Second one is for system builder which means you don't have to have a previous version of Windows installed on your machine first used for fresh builds aka systems that you build.

Of course if you go here: http://windows.microsoft.com/en-us/windows/upgrade-offer you can get it for $15 if you bought your system before Jun 2nd of this year. Otherwise through that upgrade adviser that you can download you can get it for $40 if you have Windows XP, Vista, and 7 all the way till the end of this year as a special Microsoft is doing.
