weird xp boot problem

I have a strange problem booting xp corporate w/ sp2. It boots up normally until it gets to the loading screen. Then it pauses for a very long time (after the screen goes black and the windows welcome screen should pop up) and most of the time it just reboots the computer. Sometimes it will continue to windows. When it does reboot however, i am missing the cpu and memory check from the motherboard startup screen. Any ideas on this one?

The last time I had that many different boot issues with one machine,,, it turned out to be the CPU, unfortunately. This SOUNDS like a hardware problem, though I really couldn't say what piece of hardware, honestly. (memory,MB,CUP) All of which aren't pleasant. However, I've been wrong before, and I will be again. Personally, I would check the mem first: is it locked in correctly, can you try a different stick?, etc.
