I am planning on building the following system and was looking for any suggestions or compatibility issues that anyone has with the components/system below. I have a limited budget but want the best system for the lowest cost. I have an old system I will be raiding for some components. This will be the first system I have put together from scratch and I haven't ever overclocked. I will be running Win98 SE will be using my system for the Internet, AutoCAD, ProE, and gaming.

If your budget is tight you might want to look at the ECS K7S5A SIS-735. I'm waiting for mine from newegg.com (65.00 + 5.00 SHIPPING u.s.) All the reviwers are saying good things about this board (the guy at newegg told me they sold out there stock of 200 mobo in less then 2 hours) Also you didn't mention the type of hsf. I would go with something good like a thermalright or swiftech. Also if its any help that memory can be had for $35.95 @ crucial.com + free shipping.
Since you mentioned low cost as being important to you, and if you don't plan on overclocing, then the ECS board with the SIS735 chipset would be perfect for you.

yeah...the sis 735 mobo by ecs would be a good thing for you. it will offer speed, reliability, and since you dont want to overclock, it will fit you like a glove.
