I tried all ram slots, removed all components but the vid card. tried another hard drive, tried another vid card, checked the chip to make sure it wasn't fryed re-attached everything and erased Cmos about 2 dozen times. just doesn't make sense.
there are no visual problems with the board either.

Hmm. Well, I know this will sound as something you've tried but I doubt there is any suggestion that can be given other than: go and dot the i's again.

First, remove all components. Just have your tower and MB alone. Confirm that all jumpers are set properly (if any). Disable any overclocking and use the default/proper settings.

Then attach the power supply to the motherboard, put in a video card, cpu and ram. Make sure they're are tight. Then turn it on and see what happens (make sure HD is plugged into power but don't plug it into IDE port). I sugges you screw everything in as though it's for production, don't just plug it in to test (that gives loose connections and it's better to do it right once, than do it incorrectly three times).

Make sure the heatsink and fan are firmly on the CPU and the fan is plugged in. Make sure to put heatsink/fan after the cpu is in the socket.

If this doesn't work, make sure the power supply is ok. If it is, my bet would be to try a diff mb.

Are there any beeps? Sometimes boards don't boot if Memory isn't recognized. Did you try different ram chips?

do as vali says.

double check all the wires, and be sure to plug the system speaker right. the beeps give valuable info.

missing beeps usually mean dead mobo or a dead processor.

if the memory is dead, you will hear long continuous beeps.

watch out for those beeps. if there are none, try replacing the processor first, if it doesnt help, surely its the mobo gone bad.

Go to this page for a listing of beep codes for each BIOS mfg.
