I have an old PII 350 that I want to upgrade. Well, the only items I could scavenge will be the ATX case, the FDD, CDRW and DVDROM. I am not into much gaming (but still do some), watch a lot of DVDs on it. I would like it to keep it under £500 (roughly $500)

The plan is
:Athlon 1.13Ghz SocketA 266MHzFSB £80

:Crucial 256 MB DDRRAM PC2100 £38

:40 GB HDD 7200rpm
Either Diamond Max+D740 UDMA133 £89
Or WD Caviar Ultra ATA/100 £92
Or Seagate Barracuda ST340016A £94

:A suitable Mobo with 266MHz FSB - suggestions please!

Will appreciate suggestions for a Graphics Card and Sound Card.

Thanks all.

Not sure if you will even be able to keep your ATX box or at least the PSU. I beleive for socket A it should be 300W and perhaps even 350W would be better, if planning on an eventual jump to XP+.

Have you checked the article on upgrading a Slot 1 sys.
It`s on Tom`s site here somewhere.
If i remember right, a BX board can be upgraded to around 800 Mhz or so with P3, and there is the possibility of using a socket to slot adapter.
The BX can be OC to 133 FSB, for most boards.

So, if $$$$$$$ is important to an extent:
P3 800 (or something close)
Change yout PC-100 for PC-133 and add more
Slap in a geForce 2 MX 400 64mb

Voila ! Much faster sys for good value $$$$$

Check the article i`m telling you about !
