Upgrading Notebook Hard Drive Questions/Issues

I would like to upgrade my Toshiba Satellite 40gb hard drive to an 80gb
drive, I don't want to re-install Win XP from the recovery disk from Toshiba,
and would like to duplicate the exact image from one drive to the other.
What issues will I have to face? Notes: I have an external 120gb hard drive
with a backup program that says it will duplicate the image of the 40gb
drive. Can I duplicate the 40gb drive onto the 80gb drive then replace the
40gb drive with the 80gb drive in the notebook and have it work as if I had
an 80gb hard drive all along?

You can create an image using sysprep from microsoft or ghostpro from norton.
There are some image creators freebies around too. Just look on google.
