TOCA Pro Race Driver lagging

Well, i found this age old game while clearing up my room and thought of playing it on my pc.
But it lags like hell on my pc giving 2-4fps at the starting of the race and 15fps while there's no car around.
My PC specs are-
Intel Celeron 2.66ghz.
915g chipset (6.14.0010.4670)
128 VRAM
Realtek AC'97 Soundcard.

These specs are well above the requirements of the game-
Pentium or Athlon 1.0GHz Processor
16-bit DirectX compatible Sound Card
64MB DirectX compatible 3D Video Card
24X CD-ROM Drive
1.5GB Hard Disk Space
Analog Gamepad or Steering Wheel.

Tried uninstalling/reinstalling the game, does'nt help.
Remember this playing earlier on a 2ghz celeron, 865 chipset, & 512mb RAM with much less lag.
Games like NFS Most wanted is giving 25fps.
HDD is defragmented, freshly installed WinXP SP3.
