Do video card overclocking utilities use system resources when they're running and if so how much??

No, they simply edit a few resource settings at startup and that's about it. Even if it runs in the tray it should use little to no resources. Of course it depends on what you're using also.

Thanx for the clarification. Is there any way of overclocking a radeon 8500 128 without having a utility running in the background (radedit)?
