Im running a P42.4GHZ CPU w/ a ASUS P4PE mobo. How Can i OvERClock it? I have the standard retail Heatsink that comes w/ the P4, should i upgrade it if i so overclock?

you can oVErClOck it by changing the front side bus in the bios and raising the voltage, read about it on this site and 10000000000000 others. if you have a 2.4B with the SL6EF or SL6RZ S specs, then you can probably overclock to 3.2ghz with the stock heatsink, possibly on stock voltages. otherwise you may need a new one. give it a shot though
