There's lots, from Winamp onwards. A search engine will get you results, but
try dBpowerAMP Music Converter.

I use mp3 to all converter. It works really well.
It is from www.8to32.com
They advertise converting to another format but they also can down
convert mp3's.

there's always windows media player. you can copy straight from any
playlist you create straight to your device through active sync (very slow)
or straight to a SD or CF card and a card reader. it converts in wmv
format, but I don't mind that to much. I take this route quit a bit as it
is fairly quick and easy, and allows me to choose the bitrate. in fact it
is fast enough, that I have left all my music on the PC at higher bitrates
and just convert as I transfer for any music I want to load. when I'm done
I delete off my card and convert/transfer a new batch.
