When I connect my PNY 256MB Attache flash drive to my USB 2.0 card or Onboard
USB 1 ports XP finds the device installs it and then immediatelly reboots.
It does this every time. I Don't have any problems with any other USB devices.

Any help is appreciated

Try updating your chipset/motherboard drivers. Also, I have seen
problems like this that have been fixed by a BIOS update. What
motherboard are you using?
