I have a clean install xp-pro(sp-2), and can not install any drivers for
PCI devices. (nic card included).Did someone have such problem already?
This mobo is brand new from the shop...I have already tried here:
http://www.techsupportforum.com/showthread.php?t=63447 but without any luck
regarding solution. USB devices working fine...Thanks!

Administrator privileges might be required. Do you have
them and are you logged in as an administrator?

Did you install the drivers for the card
its a 3com 3c940 gigabit ethernet (a marvell chip)
you need the drivers from the asus website, trying to force install the
marvell drivers wont work

windows update has the nic drivers...
Can you provide us with specific pci devices ? Which items are showing
up in the device manager with a yellow question mark !?
These could range from an add-on card to on-board devices...

I presume you've been using for drivers installation the CD M530,
which comes with P4C800/p4P800 series?
Almost all drivers are included :
Intel ChipsetInf Update Program,
Promise, FasTrak 378 Drivers
SoundMAX Audio Driver and Application
USB 2.0 Driver
Intel Pro/100 LAN Driver
....and Utilities. Just insert the CD into CD Drive and start from there...
I had no problems. BTW Check BIOS first before you start OS.
You might be surprised how the BIOS is set up.

Timmy, I have tried wupdate too.No change.
I can not provide you with specific pci devices, because windows have found
under 'other devices' two PCI devices (without any card inserted in PCI
slot!) and Ethernet Controller (inserted in PCI slot 4) for which when I
try to install drivers I get the windows message 'Cannot Install this
Hardware'. I have already tried few nic cards - same message appears.
On-board Marvell chip also do not work

Honestly, I don't know how can you connect to internet having not
istalled the driver for the connection. I am positive abot the installation
of all drivers. However, Utilities that is always an option.

Have you tried to use a SAFE MODE ( F8)
using this mo/bo and Windows XP Pro?
For some reason I cannot have that option.
Instead I'm getting - a Boot opition only
for HD or CD Roms and I'm lost here.

well, if you are using pci cards instead of the "on-board" hardware,
be sure to disable the on-board hardware in the bios first, then
install the pci devices one at a time...see if that works. The asus
hardware will show up as "unknown" devices prior to installation, that
is normal...unless you disable it in the bios...
On a side note, I believe I did install the onboard nic with the asus
cd-rom first, then I have since received 2 or 3 windows uppdates...

Make sure that you have Intel INF drivers installed for 865 chipset.
This helps to resolve a lot problems.
Check your BIOS settings. Make sure that on-board LAN is Enabled and
LAN Boot ROM is Disabled.
