Personally, I would not do an upgrade install of XP over any other OS.. Then
there is the issue of an older PC; how large is the HD, how much RAM is
installed, is the RAM upgradeable, etc etc.... For my preferences only, I
would want a clean, retail install of XP, and, please pardon my bias;
certainly wouldn't buy a Packard Bell to do it on.

Manufacturers would not generally favour any user upgrading the Operating
System.
1. No incremental revenue to them
2. User takes themselves outside of product support environment [in most
cases]
3. They have to write updated driver files for all the old hardware to be
compatible with new Operating System

You can apply XP Upgrade to existing Me System and expect that things should
be OK. BETTER still is to run the compatibility check to see if you need any
updated driver files or if any applications will be 'lost' due to
incompatibility with XP: YES there are many issues to consider.

Now if any apps are going to be a problem, you can uninstall them BEFORE
starting the upgrade process. AND run the compatibility checks again, just to
make sure they didn't leaver any nasty remnants in registry.

If there are any devices that need updated driver files, make a note of the
list and download and extract these drivers into a separate DRIVERS directory
on your hard drive: you'll need to point XP in that direction during the
upgrade process.

If you do all of this you should have a clean safe upgrade. One extra
precaution would be to make a copy of a personal files and folders to a
separate hard drive or CD.
