Hello,
I have an old NT 4.0 server as BDC, I'm trying to login and right after i
provide the user/pass and hit ok, I get Dr. watson with explorer.exe
"exception: access violation (0xc0000005)"..I also get the info in
Application event viewer "The shell stopped unexpectedly and explorer.exe was
restarted."...Services seem to run ok on the server. Any thoughts?

The user profile is probably corrupt.

Maybe this applies:

Err Msg: Explorer.exe - Exception: Access Violation (0xC0000005)
http://support.microsoft.com/?id=170907

or:

Illegal Operations or Access Violations When Starting Windows
