I have a W2K server witch is our licensing server for terminal server with 55
CAL's.
I Want to rebuild this server and place this licenses on our new ADS W2K3
server.
Is this possible, and if so How, I tried to but I couldn't fill in the W2K
CAL's.

windows 2000 license server will only work with windows 2000 terminal
services
windows 2003 license server will only work with windows 2003 terminal
services
if you upgrade your terminal server to 2003 (with upgraded licenses) it can
only be used with a 2003 terminal server
your existing 2000 terminal server without a 2000 license server won't work
without it

You've got it partly wrong, Seth.

A 2003 Licensing Server can handle both 2003 and W2K licenses (both
build-in and purchased) and issue licenses to both W2K and 2003
Terminal Servers.
A 2003 Per Device TS CAL can be used to connect to both a 2003 and
a W2K Terminal Server.

Prevent License Upgrade Policy

By default, this per-computer setting allows a license server to
supply a Windows Server 2003 Family Device TS CAL token, if
available, to a terminal server running Windows 2000 if there are
no Windows 2000 TS CAL tokens available.

termserv; probably someone elses post a while ago
guess it is backward compatible
