Cool 'n Quite functionality on overclock

Hello! Im new here and need help in my plan to upgrade my set up from Athlon XP 2500+ (overclocked 2.21ghz) and Epox 8RDA3+ to:

CPU: athlon64 3000+ (venice core)
Mobo: Asrock 939Dual Sata2
I'll use my old hardwares in the rest of my set up:

Maxtor Sata 74gb
2x512mb Kingston value ram
Gecube ATI Radeon 9800 Pro AGP
Winfast 2000xp deluxe PCTV


My main reason to upgrade is to overclock while cool 'n quite is enable to conserve electricity. WOULD IT BE POSSIBLE TO RUN COOL N' QUITE WHILE CPU/MOTHERBOARD (base on the set up above) IS OVERCLOCK?

Should be fine. My 3000+ socket 754 was 2ghz stock, OCd to 2.2 and when it downclocks it was 1.1 instead of the 1ghz it would have been. It simply lowers the CPU mulitiplier down to 5 at the lowest setting so it is 5 x whatever FSB you have. If you clock it to 250FSB then it will be 5 x 25 = 1.25ghz while C & Q is fully active. Works fine. Dont forget to get an updated BIOS and turn on CQ in both bios and in windows
