Going from a XP 2800+ to a 64 3700+?

Hey all. I've been waiting for a while for that new 7900 GT to come out so I can buy my upgrade parts but I figure I should hear some opinions on whether the components are worth it. Heres what I have currently:

Asus A7N8 motherboard
512 MB Corsair RAM
ATI Radeon 9800 Pro
AMD Athlon XP 2800+ (1.8 ghz)

Heres what I'm goin for
Asus A8N-E socket 939 motherboard
2 GB Corsair RAM
Nvidia 6800 GT or ATI Radeon x850xt
AMD 64 3700+ (2.2 GHZ San Diego)

Will the new processor make much of a difference( I am upgrading partly because of the new game Oblivion that's coming out in a couple weeks) or should I just get some more RAM and say, an Nvidia 7800GS, keeping the old motherboard and processor? Im not gonna be multitasking or doing any dvd encoding or whatever people do that really taxes CPU's...does it make much sense to upgrade my processor and motherboard?

Thanks for the motherboard suggestion, I'll definitely look into it. I am still a little confused about video cards though, will I lose much visual quality using an X850XT (no Pixel Shader 3.0 support) rather than a 6800 GT? I know Oblivion supports PS3.0 but have no idea what exactly that translates to, just nicer water effects? As far as I know the X850XT is faster than a 6800GT and much cheaper, at the cost of less recent features like PS3.0... correct me if I'm wrong regarding its performance vs. the 6800GT.

not really i went from a athlon xp 2500+ to amd 64 x2 6000+ and hardly noticed a difference.
