If you are referring to this:
Windows Protection Error in NDIS with CPU Faster Than 2.1 GHz
http://support.microsoft.com/?kbid=312108
you need to call MS and request the hotfix specifically described in the KB article,
mentioning both the KB article number and the symptoms it describes....do not ask
any support questions, and be sure to confirm "So, this is free, right?"

They should give you a link, or email it to you, where you can then download the
hotfix. Please note: this hotfix is only for Win98 First Edition, not for Win98SE,
which already has the fix incorporated into its version of the file.

In the event that MS no longer makes the patch available, see here:
http://www.sjordan.com/ndis_fix.html
(Scroll to the bottom of the page).
Be aware that the there download is of unknown origin.

Along with Glee's fine advice, you can get ndis.vxd from a person with a
98SE or Millenium Edition OS computer.
After you load 98 on your computer you described, and you get the NDIS
error. Turn the PC off. Put in a startup diskette and boot. Rename the
old ndis.vxd to ndis.98, and copy the new ndis.vxd to the windows/system
folder. Remove the startup diskette, and reboot.
Be sure to save the new ndis.vxd in case you have to install 98 again
someday.
