Not to be rude but how can you trust an application that reports you -12v rail somewhere in the 3v range?

Wuzy is right though, that minor of a fluctuation isn't somethign to be concerned over. I had a P4 that used to fluctuate alot more than that and it ran solid for almost 3 years, and has now been passed down to my mother. Its still goin strong.

Then increase your vcore to 1.4V in BIOS.(stock voltage for 3700+ Venice)

2.2Ghz venice is 3500+ FYI, if it is a 3700+ then it is a San Diego core most likely. It doesn't change the voltage at all, just more of a FYI than anything.

@OP - sorry man that blows, constant restarts are almost worst then a full crash.

You could try RMA'ing it. Load optimized BIOS settings. Get 1 gig of ram going at dual channel then see if it has problems.
BTW, make sure the ram is running at 166mhz..

Go take a look at "/Documents and Settings/All Users/Application Data/Microsoft/Dr Watson/drwtsn32.log" and see if Ati2evxx.exe is causing any problems.

If so, try disabling that service, seems like it worked for This Guy, he was having the same problem with the same mobo and a similar video card.

THANKS ALOT FOR THE LINK!

I had too installed the amd 64 driver previously (Only because i figured...Well its amd athlon 64, why not install driver).

And my system is nearly identical to his in every way, right down to video card.

Also the only errors in Drwatson, were from halflife. Which doesnt bother me.

You're giving me too much credit, thanks to Google, it took me less than 10 seconds to find this interesting tidbit.

Regardless, I'm glad it helped !

Although uninstalling that DID help alot. (I used to restart at least 5 times per hour, its only restarted once all day)

I still see this reccurring error in computer management, Quite a few times (More than its sane to count)

The following boot-start or system-start driver(s) failed to load:
atitray

and a few DCOM and Dhcp errors (5 of each)

And a TCPIP warning (about 6)
TCP/IP has reached the security limit imposed on the number of concurrent TCP connect attempts.

I've tried the ATI based drivers and Omega drivers, yet the atitray still fails to load, could this be a cause of my 0x00009c errors?
