not bad, ditch the pqi in favor of a 2gb kit like G.SKILL 2GB (2 x 1GB) DDR2 667 (PC2 5400) for $153 shipped and a total of $562 you have a decent dual-core OC system just bump the volts on it to 2v to get the speed out of it (or just live w/ 1gb)

The power supply may put you over budget at $616, the FSP should be able to handle a 805 OC no problem.
