Does anyone know of a software app. that can run on win 2k server that
monitors DSL connection and if it drop for a specified time it uses a modem
to reconnect itself to the internet so a dyndns client could update the ip
and keep the server operational until the DSL comes back online.

any help is appreciated.

If you setup RAS and a DoD connection it should do it automatically when the
route is unreachable via the DSL NIC.
