Intel D 950 dual core 3.4ghz help?

I need some help guyz ive been planning on upgradeing my CPU for a while now and i was thinking of going for the Intel D 950 3.4Ghz. My old Pent 4 is a Prescott 3.40Ghz will i get a big performance increase when i switch over to the D950?
There is nothing wrong with the Pent that is my machine but i have noticed that my FPS drops alot when ever i am in a situation where there is alot going on the screen at once in games, for example games like Red Orchestra when ever i am playing in one of the bigger maps and the server is full my FPS can drop to 30 and even 25 sometimes.
This will be my first time installing a new CPU thats why some of the questions are simple ones i have installed and changed most of the othere componets in my PC just not the processor yet.
