Intel P4 820D Vs 940D

Currently I have an intel Pentium 820D (2.8 ghz with 1mb of shared cache).

I have an Asus P5Wd2 motherboard (955x chipset) so upgrading to core 2 duo is not an option.

Would a 940D be a worth the upgrade (3.2 with 2mb of shared cache) in terms of performance. The 940 currently sells for around 180.

That is what I was thinking but was not sure.

Do you know how much the 820 can be OCed?

I have a thermaltake shark case, blue orb 2 CPU cooler and Corsair TWIN2X1024A-5400UL 1GB DDR2-675 XMS2-5400UL for my ram. If it matters my video card is an ATI x1800XL all in wonder.

Currently my temps are around 47-49 at idle to little use. The highest I have seen it 55ish. Should this be lower?

I did have the MB set to do the auto overclock as needed and did not see any change in temps.

Unless you plan on some extreme overclocking, then keep the 820D. If you want to see 4GHz or more, then the 940D, or even better...the 930D is the way to go. They overclock better due to the 65nm architecture, and put out slightly less heat, but the extra 1MB of cache doesn't really make that much difference. GL :)
