I'll be getting Core2 E6700 CPU. Currently I have the options to get Gigabyte 965P-DS3 or Asus P5B (not deluxe) motherboard.

The Gigabyte has multiplier unlocking. The Asus doesn't (only P5B deluxe does, according to the BIOS download at asus site).

For overclocking and stability, which board is better ?

TIA

I haven't heard anything about that Gigabyte board. But I have heard good things about P5B. I would say either go for P5B or wait for more posts and reviews on the Gigabyte board.

At this point of time, I would recommend to check out the 945P boards that offers upgradability for Core2 Duo's. The 945P+ICH7 has PATA support, is more well tested against various memory modules compare to 965P.

Anyway, I didnt have good luck with the DS3 I had, I ended up RMA-ing the DS3 and spending more to go to the P5B Deluxe.
