crashing reboot underground 2

I have a problem in that the game crashes after a brief period of time. Up
to that point it plays fine.

I wonder if it is the video card, geforce MX440. I've tried a couple of the
drivers, 61.77 and 71.84 and it doesn't make a difference.

Rest of the system is
Win 2k, patches current
Gigabyte board with Athlon 1.7
750 meg ram
