Advice on planned upgrade needed

I am looking to upgrade my system to a core 2 duo setup. These are the components I have in mind:

E6600 Conroe;
Abit AW9D Max;
2Gb Corsair PC6400 4-4-4-12;
2 x Seagate Barracuda 320Gb 16Mb cache (Raid1);
WD Raptor 150Gb.
(Already have an XFX 7800GT)

I intend to use the system primarily for gaming and video encoding. I have no desire for Sli. My questions are as follows:

Will my 480W Tagan psu be powerful enough to run all these components?

I only intend to overclock the CPU (as I believe it is relatively straightforward with the stock HS/fan). Will this mainboard give me any performance advantage over slightly cheaper boards if I am not overclocking anything else?

I currently have XP home. What are the advantages of Pro?

Would I be better redistributing the money I'm spending to, for example, buy PC 8500 memory, or is the performance increase negligable?

Are there any plans afoot at Intel to change from the LGA775 socket?

The one thing I can say is not to bother with faster memory. Look here.

Since you are OC'ing getting DDR2 800 is fine. If you weren't, this PQI Turbo is a great choice for $175.
