This will be a Test System running various SQL Databases and host virtual OS such as Linux, etc.. etc... ( I have personally seen VMs run better with Virtualization Technology so I would like support for that in my MB if possible but a large cost for than in the MB would lead me to get a cheaper MB and more expensive CPU.)

This will not be used as a gaming PC unless my gaming system is down.
So the Graphic Card is more than sufficient so pls do not suggest higher.
I have even considered a silent 7600GS, but decided against it.

Now, this system will be powered on 24x7x365 and only be hit hard 5% of the time. As a result I would prefer silence when not being used and the ability to reduce power and increase silence when not in use.

I expect to increase from 2GB to (4GB or 8GB w/64 bit OS) in 6-12months when memory prices return to earth.

I would ditch the case from newegg there are better deals on that one from chiefvalue.com in both silver and blue for $55 shipped and they have a cheaper model Centurion RC-531-KKN1 $40 shipped which is the same except for the front 120mm fan (better than the 80mm) and it lacks the vented front panel.

I would get this OCZ Gold 2GB (2 x 1GB) DDR2 800 for $235 & $30 MIR that's a good deal and has better upgrade / oc potential.

Everything else looks good, great job.

In regards to the memory, the Ratings on those concern me.
25% give it a 1-star with an average of 3 stars.

The PQI has 5 stars.

Now I realize the 533 vs the 800 is a big difference.
If I was comfortable with the OCZ I would get it.
I like the brand for OCZ and consider them good.

I just wish I could understand better why they are getting low ratings.
Do you think folks are just failing with certan OCs or causing their own problems. OCZ seems like too good of a company to ship that many pad Dimms?

Yes the gskill is a great brand, and I can't blame you for not wanting to increase the vdimm setting  that one is a good choice!
