As DaSickNinja said, these two chips are identical. ViiV is a multimedia platform (not a CPU technology) consisting of the CPU, Mobo chipset, DRM and NIC. If you're building a Home Theater PC (HTPC), here is some info about it:
To be certified as a Viiv-technology based, PCs will all feature dual-core processors:

Intel Pentium D
Intel Pentium Extreme Edition
Intel Core Duo
Intel Core 2 Duo
Intel Core 2 Extreme
Alongside one of the following chipsets:

Intel 975X Express, 955X Express, 945G Express, 945P Express, 945GT Express, P965 Express or
Mobile Intel 945GM Express Chipset
And one of the following network adapters

Thx for the help i got one last question, So the ViiV is good for gaming too then since the core 2's are in that catogory?

Viiv is more of a marketing gimmick than a solid technology. It's something that encourages makers to put an Intel CPU, with an Intel Chipset, with a few other Intel things so they can brand it is Viiv compliant.

The E6400 is a spanking awesome processor for gaming. Just make sure you use a good motherboard with a good video card and suffucient RAM.
