Question About Memory Compatibility

Hey folks, I have a question. Currently I am running a system with an AMD Athlon XP 2800 and 1 gb of PC 2700 memory. Have not upgraded for a while.

My question is I am looking at this board....

And maybe at a 64 bit Sempron 3400. I'm wanting something for a cheap upgrade, and to where maybe I can overclock later, since I can't really afford the upgrade I would really like. My question is will my pc2700 work with this combination? Then how good do you think any overclocking options would be later? But mainly I want to know if the memory would work or not. I am guessing yes, but I just want to be sure. Thanks.

btw, the board says it supports ddr standard 400, or pc3200.
