A retail E6600 CD2 is the same as an OEM E6600 right? There is no difference?

Is OEM basically when copies of something are made legally by another company? Or is it when something comes as part of something else (ie, a CPU in a ready-built system), but is taken out and sold seperately?

I'm confused on these points.

Please educate me :p

OEM = Original Equipment Manufacturer/d

Retail or "Box" CPUs come with a factory HSF (Heat sink/fan) and a longer warrenty

OEM CPUs have shorter warrenties and no HSFs,but cost less.

There is no difference in the quality or manufacture-its just what kind of package it comes in, the HSF and the warrenty
