need advice on upgrade

Hi this is my first post here, since i am more of a lurker than anything, but this time i need your help because i am thinking on upgrade mi current computer wich has the following specs:

Motherboard ---> VIA P4M266 http://www.via.com.tw/en/products/chipsets/p4-series/p4m266/

Intel Celeron 2.0Ghz
RAM rosewill 1GB PC3200 http://www.rosewill.com/product/product.aspx?productId=194
HD --> Samsung 160GB http://www.samsung.com/Products/HardDiskDrive/SpinPointPSeries/HardDiskDrive_SpinPointPSeries_SP1614N.htm
VidCard --> Geforce 6800XT AGP

i would really like to reuse the vidcard and ram since i am an ocassional gamer and currently have a budget of 350dlls. I was thinking on a E6400 with a cheap mobo hopping the price will drop soon with the quad's released this friday. since i plan to upgrade to pcie on the future.
Any help would be greatly appreciated.
P.S. sorry for the crappy english but it's not my primary language
