Hey, you're back. Still a few things to fix.

A motherboard with a p965 chipset is better. Mostly because of overclocking and upgrading.

I assume you do want to overclock that E4300. That it's purpose in life.

You might really like mushkin RAM, but that's only rated at DDR2-533.
To overclock you should buy DDR2-667 or DDR2-800 maybe.
The DDR2-533 will be fine if you only OC the E4300 to 2.4GHz.
The DDR2-667 will let you OC to 3 GHz.
And DDR2-800 is good for a little more.

Looking better. :D

OC the 4300 ..what kind of cooling will i need to go 2.4 with it....
are we talking water cooling?

what kind of latency, voltage Ram if i go 667 ..i think 800 is out of my pockets reach but not for certain yet....thats if i go 3.0 on the CPU...but I have only had one system that I even played with OCing anything...

and btw THANK YOU FOR HELPING :)

For 2.4GHz, you can use the stock heatsink that comes with the retail package. If you plan to go to 3GHz, then something like this for $30

That mushkin RAM you found has the lowest latencies I've seen for DDR2.
Generally good latencies are 4-4-4-12. RAM is complicated business.
Which is better: speed or latency?
What's important is will it run at a speed that matches up with your CPU.
If you'd like to hit 3GHz, then I'd suggest DDR2-667 4-4-4-12.

This is a must read before overclocking: Wusy's Guide

ok this Ram is the right voltage for this MotherB I guess i will have to give on on that 533 ram or do you think those low latencies are worth finding one that can give me the use of that 1.9v ram i mentioned eariler..
I will stay with the stock fan and use a nice set of expansion slot and bay fans to cool box ..i suppose.... well anyways lets see where we are ..

Alrighty then...to take your system to the next level, you're going to have to make a sacrifice. So, I'm going to suggest you cut the Raptor from the lineup. It's unbeatable, but it costs $140. This harddrive is a close second and only costs $80. Seagate 7200.10 250GB. That's a savings of $60.

You should put it into a better motherboard. The one you list is $77, this one is $105. Gigabyte GA-965P-S3

I'm not much help when it comes to power supplies. The one you chose might not cut it. You should take your upgraded list to the power supply forum and ask there. You should still have about $30 left to upgrade it.
