Pentium D 805 OCing for kicks

can anyone tell me how much i will be able to OC my Pentium D 805 (2.66Ghz) to with this Mobo: Biostar TForce965PT?

i am aware that it will go to at least 3.8Ghz without any stability issues

also, i dont know much about overclocking so will having Corsair XMS2 DDR2 800 RAM be of any consequence?

On good air, 3.8Ghz or so is what you should expect. My Zalman 9500CNPS wasn't enough to keep that power-hungry beast cool enough for full stability at 3.8, but at 3.6 it ran much cooler since it required much less voltage.

That board will do you fine, and the DDR2-800 will be enough to cover any overclock you can manage assuming you run it in a 2:1 ratio. A 190 FSB, which will net you 3.8Ghz, will run at DDR2-760 speeds.
