Big CPU Problem!

someone PLEASE help...
i just purchased my c2d e6600 @ 2.4GHz brand new..
when i boot my computer mobo gives an error that says CPU problem blah blah. i can press f1 and get passed it and everything runs fine...
BUT
when i open CPUz to look at my core speed... it says each core's speed is 1.56MHz with x6 Multiplier but if I keep looking at it, it flashes back and forth between 1.56MHz w/ x6 to 2.38GHz with x9

when i installed my CPU i used extra thermal paste... all the pins are in right nothing is messed up.

Idle temp is staying around 40-45*C

Bus speed is staying at 1064MHz

When I boot my computer it says intel e6600 @ 2.38GHz

SOMEONE PLEASE HELP!

Run Prime95 in torture mode for 24 hrs, and get a different version of CPUz preferably V 1.37 and if that doesn't solve the problem, reinstall windows, remembering to install the dual core hotfix, and do the steps that i previously mentioned.
