Intel C2D 4300 vs Xeon 3040?

Can anyone explain me what are the differences between Intel C2D 4300 and Xeon 3040?

  3. Unless you get into serious overclocking, all the Xeon 3040 is, is a E6300 that has a slightly higher clock and can run at lower voltages than its Core 2 brother. Otherwise, they perform the same with minor variances.
