Ever built a system before?
Plan on overclocking?
What else are you buying new, what are you carrying over from the current system?
Need SLI, Crossfire or just one bitchin' fast videocard.
You got to tell us more, otherwise just get an Asus P5N-E...

These will suit your needs just fine:

Gigabyte GA-965P-DS3 LGA775 965 Conroe $133+6 2/03/07

Kingston value DDR2 2G 533 KVR533D2N4K2/2G $171+5 2/03/07

I know the memory is not "in". Nobody thinks value ram is cool, but it's 1.8volt CL4 and will boot and run flawlessly. It's as fast as you need.

One prob with memory suggestion.....it leaves NO ROOM for overclocking. The memory can only work at 1:1 ratio and the cpu clock will have to be 266, unless the memory has a little headroom....that's if the mobo even accepts DDR2-533.

Well, there's a reason for that...
