Question about buying PC hardware and Software?

I would like to know what the difference is between the same Product, one OEM other retail. Like Windows xp pro one OEM( cheaper) one Retail ( higher), or a HDD one OEM one Retail? Ty in advance for your help.

I've never bought original softwares, but as for hardwares, the easiest way to explain are:

1.Retail product comes in package/box with manuals, CDs and extras (where applicable) while with OEM,you just get the hardware (no cables etc or sth like that)

2.Usually OEM's warranty are shorter in time/less coverage, in some/most (not very sure) case,it's up to the one who sold you the goods, no warranty from product manufacturer
