It's an old processor. Why do you want to change motherboard? Did one fail?

To be honest, if it's a "performance" increase, you'd be better off saving the money and waiting till you can afford a better chip/board/RAM combo.

If it's features you're looking for, you're almost certainly better off buying a PCI add-in card, saving the rest, and waiting till you can afford etc etc.
