What is your budget first of all?

Here's what I can up with on top on my head:
E6300 $183.00
GA-965P-S3/DS3 $122.99
OCZ 2 GB GOLD 533/667 MHZ $192.99
OCZ GameXStream 600W $129.99
eVGA 7900GS $154.99

(Prices are from Newegg)

Total $783.96 W/O Taxes/Shipping & Handling.

EDIT: You can keep your current video card if you wish.

lol no duh, heh the 7900GT is way higher performce then the GS, and as well as budget right now its $250 so a platform change is outta question, if i tried that i could only get the CPU an MEM or Mobo but not all of it. more or less ive gotta go a couple of peices at a time

You're current system is still good to run games on a decent fps.

If you want to change your CPU good luck trying to find a Socket 939 CPU in stores as they are running out of stock quickly, because they are becoming a dead socket and AMD won't be producing anymore 939 CPU.

Why not do something like this
Pent + LGA 775 MB
You can use the memory and GPU for now and upgrade more over time. $130
^wouldn't that be a downgrade from a dual core? Overall your system seems fine, fight the itch to upgrade, save some money wait for the next wave. It would be hard to upgrade anything except for the ram, so that might be a good choice (to go ddr400 or better). Though DDR is becoming last years news and the DDR3/4 bonanza is going to start 'soon'!!1!

I'm still sitting on 3 or 4 generation old hardware, I'll probably get around to upgrading by summertime.

You are correct, I was looking for some kind of compatibility with the parts he had. So if he used that MB and this CPU
Pentium D 805
He would be close to what he has now with a ton more upgrade options

You don't need to upgrade right now at all. You're at that uncomfortable middle ground where you'd have to buy a new motherboard, CPU, and memory to see any benefits, and you wouldn't even gain that much performance over the processor you have now unless you went REALLY high end. In short, your system is still pretty decent and you don't have a good upgrade path available, so why fix what isn't broken?

ALL OF THAT SAID, I have two suggestions:

OPTION 1.) Upgrade your cooling with a really nice hs/f (Tuniq Tower or something), some case fans, maybe even a new case, and then OC the hell out of that X2

OPTION 2.) Buy a Western Digital Raptor hard drive with some hard drive cooling/sound dampening to increase Windows performance and gaming load times

Anything else would be a big waste of money imo.
