The store that I regularly make visits to for most of my hardware needs has a great price on a barebones system I've requested. It uses the 945 CPU, only because they do not carry the 940... When looking at online prices (ie. tiger direct), there's a very significant gap between the 940 and 945.

Is there much reason for me to believe the performance difference is nearly as big as the price difference?

I normally just resort to the comparison charts for this kind of thing, but I couldn't find the Pentium D 945 on the CPU list.

There isn't that much difference(200MHz). The 945 is a 950, without virtualization technology(VT)...which is no biggie to most people. Compare the 950(945) to the 940 in Tom's CPU charts. Most people in here will tell you not to get a Pentium D...get an AMD x2, or Intel Core2Duo. They both perform better than the Pentium D's, but are sometimes more expensive. GL :)
