Need help - CPU upgrade no display coming.

Guys,
I need your help. I have ASROCk P4i45PE MOBO with intel celeron 2.2.
I bought intel 3.2 ghz northwood for upgrade. when i plug this cpu in mobo. display does not come. All fans come up, i can see lights on drives and mobo but no display. MOBO vendor site says they support this CPU but I don't understand why display is not coming. I removed all drives and cards and tried barebone but still no display. If i popup my celeron back it give me display but no display with 3.2ghz. any help is appreciated.

What kind of RAM are you using?

I'm guessing your running less then DDR400 that is needed for a 800 FSB CPU, which would cause the PC not to boot.

Thanks for your quick reply. one more question though.

You are right my ram is 3200. But if i remove ram it still doesn't give me single beep which means cpu is recognized by mobo. but it comes with celeron.

I guess I'm wrong, are you running PC 3200 memory? (DDR400)

I was guessing that your celeron was running slower memory, like the PC 2100 or 2700.

If you have the right memory for that chip, do you have the lasted CPU support for the bios on your MB?

I checked bios version and upgraded it but still same problem no display.
Even got friends MOBO intel 865ghvz same problem on that mobo to.
Do you think CPU is dead ?
but I can feel it is getting warm/hot so I am not sure what is happening.

Well, at this point, I'd say there's a problem with that CPU then.

If you are using DDR400, your MB supports the chip, have the most updated bios, and tried it on another MB that supports it, there's a good chance the CPU has a problem.
