XP sp1 works ok...SP2 gives me BSOD..what happened?

Hi all...i have an A8v deluxe which runs well with SP1 of XP...

1gb RAM
Ath64 3200+
SBLive
GF4800ti SE
2x HDDs in Raid 0
BIOS outta the box purchased 1 month ago..no updates

I downloaded SP2 a couple of times and it installs ok...but when i reboot...i get the dreaded BSOD at the black screen with the yellow/red loading windows insignia...i get a flash of a BSOD before it reboots but its too fast to read it...looking at the events viewer...i see that the following is noted as the cause: (or one of the causes)

...note i can boot into safe mode without a problem so its prolly a device driver problem

It looks like XP can't find the drivers anymore...why would sp2 do that?...i even tried to use f8 with i can direct where to look for the load in files...I direct it to look in the raid 0 but still, no dice...any ideas?

more info...i got to read the BSOD so now, after the BSOD, this is written to the event viewer in admin. tools ;

The following boot-start or system-start driver(s) failed to load:
Fips
Processor
prodrv06

and the BSOD says

"A problem has been detected blah blah blah....AN ATTEMPT WAS MADE TO EXECUTE NON EXECUTEABLE MEMORY"....if this is the first time blah blah..

That help any? Don't understand why all works well in SP1 but not SP2
